BY INSTALLING THIS SOFTWARE YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, AND YOU WILL NOT BE ABLE TO USE THIS SOFTWARE UNLESS YOU ACCEPT THIS AGREEMENT. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO ANY TERM OR CONDITION, YOU MAY NOT INSTALL OR RUN THIS SOFTWARE. 1. License. DVDLogic hereby grants to the purchaser (hereafter you) a personal, non-exclusive, non-transferable license (the License), without the right to sublicense, to use the application, installation, utility, system, upgrade or other software accompanying this License, whether on disk, in read only memory, or on any other media (the BD Reauthor Software), the related documentation and materials. The BD Reauthor Software is licensed for use in object code form only, for your internal use and only on a specific hardware system. The BD Reauthor Software is licensed, not sold, to you. You own the media on which the BD Reauthor Software is recorded but DVDLogic retains title to the BD Reauthor Software and to any copies which this License authorizes you to make. You acknowledge that DVDLogic retains all other ownership rights connected with the BD Reauthor Software, including, without limitation, all copyrights, trademark rights, and all other intellectual property rights. You agree to refrain from any action which would diminish such rights or would call them into question. You agree that this License shall apply to any DVDLogic software provided to you by Sonic Solutions (Sonic) acting as a reseller of DVDLogic products, or Sonics representative as replacement or upgrade software to substitute for or to be used in conjunction with the software accompanying this License. 2. Permitted Uses and Restrictions. This License allows you to install and use the BD Reauthor Software on a single hardware system at a time. This License does not allow the BD Reauthor Software to exist on more than one hardware system at a time. You may make one copy of the BD Reauthor Software in machine-readable form for backup purposes only. The backup copy must include all copyright notices and any other proprietary legends contained on the original copy of the BD Reauthor Software. Except as permitted by applicable law and this License, you may not decompile, reverse engineer, disassemble, modify, rent, lease, loan, distribute, create derivative works from the BD Reauthor Software or publish or transmit the BD Reauthor Software over a network. You may, however, transfer your rights under this License, provided you transfer the related documentation, this License, and a copy of the BD Reauthor Software to a party who agrees to accept the terms of this License and destroy any other copies of the BD Reauthor Software in your possession. Your rights under this License will terminate automatically without notice if you fail to comply with any term(s) of this License. The BD Reauthor Software is not intended for use with Blu-ray Disc titles for which you have not obtained the proper authorization, and cannot break cryptoprotection or any other type of copy protection. The BD Reauthor Software is intended to help Blu-ray Disc authors in the reworking of BD projects by allowing the retrieval of the original assets. The BD Reauthor Software can only be used with Blu-ray Discs that do not contain copy protection. The BD Reauthor Software may not be used for authoring of unlicensed Blu-ray discs. 3. Limited Warranty on Media. DVDLogic warrants the media on which the BD Reauthor Software is delivered to be free from defects in materials and workmanship under normal use for a period of ninety (90) days from the date of original purchase. Your exclusive remedy under this paragraph shall be, at DVDLogics (or its resellers) sole option, either of (i)a refund of the purchase price of the media containing the BD Reauthor Software or (ii)a replacement copy of the BD Reauthor Software, provided that your original copy is returned to DVDLogic or a DVDLogic authorized representative. THIS LIMITED WARRANTY AND ANY IMPLIED WARRANTIES ON THE MEDIA INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF ORIGINAL RETAIL PURCHASE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THIS LIMITATION MAY NOT APPLY TO YOU. THE LIMITED WARRANTY SET FORTH HEREIN IS EXCLUSIVE AND IN LIEU OF ALL OTHERS, WHETHER ORAL OR WRITTEN, EXPRESS, OR IMPLIED. SONIC SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY BY JURISDICTION. 4. Disclaimer of Warranty on DVDLogic Software. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE BD REAUTHOR SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. THE BD REAUTHOR SOFTWARE IS PROVIDED AS IS AND WITHOUT WARRANTY OF ANY KIND AND EXCEPT FOR THE LIMITED WARRANTY ON MEDIA SET FORTH ABOVE AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DVDLOGIC AND ITS LICENSORS AND RESELLERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE BD REAUTHOR SOFTWARE. DVDLOGIC AND ITS LICENSORS AND RESELLERS DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE BD REAUTHOR SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE BD REAUTHOR SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE BD REAUTHOR SOFTWARE WILL BE CORRECTED. FURTHERMORE, DVDLOGIC AND ITS LICENSORS AND RESELLERS DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE BD REAUTHOR SOFTWARE OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY DVDLOGIC OR A DVDLOGIC AUTHORIZED REPRESENTATIVE OR RESELLER SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SHOULD THE BD REAUTHOR SOFTWARE PROVE DEFECTIVE, YOU (AND NOT DVDLOGIC, ITS LICENSORS OR AN AUTHORIZED REPRESENTATIVE OR RESELLER) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. 5. Third Party Works. To the extent that any third partys intellectual property is incorporated within the BD Reauthor Software, you agree that such third party is a third-party beneficiary of the terms of this EULA to the extent of the third partys license to DVDLogic, and that you will not use any such third partys intellectual property for any purpose other than the promotion of DVDLogic products or the process of learning to use the BD Reauthor Software. 6. Limitation of Liability. TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL DVDLOGIC OR ITS LICENSORS OR RESELLERS BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE BD REAUTHOR SOFTWARE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF DVDLOGIC AND/OR ITS LICENSORS AND/OR RESELLERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL DVDLOICGS AND/OR ITS LICENSORS AND/OR RESELLERS TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED THE AMOUNT PAID FOR THIS BD REAUTHOR SOFTWARE. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Any unauthorized Use or attempted use of the BD Reauthor software is at your sole risk, and DVDLOGIC and its licensors AND RESELLERS shall have no liability Therefor. 7. Export Law Restrictions. You agree that the BD Reauthor Software will not be exported outside the United States except as authorized by United States law. You also agree that BD Reauthor Software that has been rightfully obtained outside of the United States shall not be exported except as authorized by the laws of the United States and of the jurisdiction in which the BD Reauthor Software was obtained. 8. Controlling Law and Severability. This License shall be governed by the laws of the United States and the State of California. This License shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect. 9. Complete Agreement. This License constitutes the entire agreement between the parties with respect to the use of the BD Reauthor Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and signed by DVDLogic or its authorized representatives.
